JSC MACDEL-Electronics reserves the right, at its discretion, to modify, modify, supplement or exclude parts of these Terms of Use, Privacy Policies and other relevant policies at any time by posting modified terms in the Service. You will be considered to have accepted such changes in case you continue to use the Service. If at any time you disagree with any part of the currently valid version of the Terms of Use you must immediately stop using the Service.
1. Introduction
Please read these terms of sale carefully. It is important that you read and understand these terms of sale that will apply to this contract before agreeing to them (the “Terms”).
2. Interpretation
In these Terms, “we” means JSC MACDEL-Electronics (and “us” and “our” will be construed accordingly); and “you” means our customer or potential customer for products (and “your” will be construed accordingly).
3. Order process
All products on our website http://www.macdel-electronics.com (the “Website”) you may buy; and your order for products constitutes a contractual offer. No contract will come into force between you and us unless and until we accept your order in accordance with the procedure detailed below.
In order to enter into a contract to purchase products from us, you will need to take the following steps: you must add the products you wish to purchase to your shopping cart, and then proceed to the checkout; you must confirm your order and agree to these Terms; you will then be asked to enter your payment details; we will then send you an initial acknowledgement; and once we have checked whether we are able to meet your order, we will either send you an order confirmation (at which point your order will become a binding contract) or we will confirm by email that we are unable to meet your order.
4. The products
The use of the products is subject to the instructions of use. The instructions of use of the products are found on the labels which are attached to the products themselves By accepting these Terms you accept that you will comply with these instructions of use.
5. Price and payment
Prices for products are quoted on our Website in Russian rubles. Equivalent prices in Euros and US dollars you can see by clicking the currency calculator icon. We will verify prices as part of our sale procedures so that a product’s correct price will be stated when you pay for the product.
The price of the products does not include the price of delivery.
Payment must be made upon the submission of your order. We may withhold the products and/or cancel the contract between us if the payment is not received from you in full.
The prices on the Website include all value added taxes.
Payment for all products must be made by debit/credit card.
Prices for products are liable to change at any time, but changes will not affect contracts which have come into force.
6. Your warranties
You warrant to us that:
a) you are legally capable of entering into binding contracts, and you have full authority, power and capacity to agree to these Terms;
b) the information provided in your order is accurate and complete.
c) you will be able to accept delivery of the products.
7. Delivery policy
We will arrange for the products to be delivered to the address for delivery indicated in your order.
We will use reasonable endeavours to deliver products on or before the date for delivery set out in our order confirmation or, if no date is set out in our order confirmation, within 10 days of the date of our order confirmation. However, we cannot guarantee delivery by the relevant date. We do however guarantee that unless there are exceptional circumstances all deliveries of products will be dispatched within 7 days of the later of receipt of payment and the date of our order confirmation.
8. Risk and ownership
The products will be at your risk from the time of delivery. Ownership of the products will only pass to you upon the later of:
a) delivery of the products
b) receipt by us of full payment of all sums due in respect of the products.
9. Binding Arbitration
To the fullest extent provided by law, and except as otherwise provided below, You and JSC MACDEL-Electronics agree that any Dispute between You and JSC MACDEL-Electronics will be resolved exclusively and finally by binding arbitration in Russian Federation.
Arbitrator decisions are as enforceable as any court order.
If You prevail in the arbitration of any Dispute with JSC MACDEL-Electronics, we will reimburse You for any fees You paid to in connection with the arbitration. ANY DECISION RENDERED IN SUCH ARBITRATION PROCEEDINGS WILL BE FINAL AND BINDING ON THE PARTIES, AND JUDGMENT MAY BE ENTERED THEREON IN ANY COURT OF COMPETENT JURISDICTION.
10. Your right to cancel and return
You can cancel your order before it is paid at any time.
After payment, you can cancel the order and return the product at any time if there are defects in it.
